Terms of service
Applies to: the Ownpace managed service at ownpace.eu.
Version: 1.0
Last updated: 2026-10-19
These terms do not govern the software. Ownpace is open source under the Apache License 2.0, and running it yourself is governed by that licence, not by these terms. These terms govern the service we operate for you. The two differ: the licence gives you the right to run, modify and distribute the software; these terms are a contract about a service we run. Neither one limits the other.
1. Who you are contracting with
Archico B.V., trading as Ownpace, registered under KvK number 73922706, VAT number NL8597.110.06.B01. We correspond by email: support@ownpace.eu.
These terms, together with the commitments the privacy policy makes to you and any additional conditions we show you with them, are the contract between you and us. During the Alpha phase, the Alpha conditions also apply. Where those conditions differ from these terms, those conditions prevail.
When you create your account, the app shows you these terms, each with its version number, and asks you to accept them. The app records which version of each text you accepted, and when. You can save or print them from this site at any time.
Someone who only follows a progress link, or who grants access through a link a customer sent them, does not become a party to these terms. If you accept on behalf of an organisation, you thereby accept the terms for everyone in your organisation.
2. What the service does
Ownpace can migrate your mail, contacts, calendars, tasks and files from a source account under your control to a target account, also under your control. It keeps track of what has been migrated until you decide to switch over. It also gives you insight into, and an overview of, what has been migrated.
What it will not do:
- It never deletes anything at your source. At your target, nothing is deleted either, unless you switch on deleting by hand and approve each deletion. If you also switch on the automatic removal of moved files' old copies, the old copy of a file that moved at your source is removed at your target after strict checks, without asking you each time. Both are off by default, until you explicitly turn these features on.
- It does not sync back. Data flows from source to target, never the other way. Your source remains your fallback for as long as you keep it.
- It cannot promise a perfect copy of everything. File formats differ between providers, and some data cannot be migrated, for any of a number of reasons. What we cannot migrate is reported to you, item by item, with the reason — we keep you informed!
- It is not a backup service. Migrating is meant to end some day, but it need not be a one-off migration: you can carry on working in your source and switch over to your target account at a moment you choose. Once you have switched over, you finish the migration, and we stop migrating. But if you let a migration carry on after the switch-over, we keep syncing, and it counts as an active migration.
3. Your account
Keep your sign-in details to yourself. You are responsible for what you do under your account, and for what someone else does with sign-in details you shared or did not protect with reasonable care. Tell us at support@ownpace.eu if you think someone else has gained access to your account. What goes wrong on our side, including in the sign-in service we run, is our responsibility.
You must have the right to access the accounts you connect. Do not connect an account that is not yours or that you are not authorised to migrate. For an organisation's accounts, that means authorisation from the organisation. For another person's private account — a family member's, for example — it means that person's permission.
You must be 18 or older to open an account and use Ownpace.
4. Your data, and what we do with it
Your data stays yours. We process it only to run the migrations you configure. The privacy policy explains how; the commitments in it are part of this contract. Business customers are additionally covered by our data-processing agreement — until it is published here, it is available on request at support@ownpace.eu.
We do not read your mail, files, contacts, tasks or calendars, other than in the narrow cases §4.5 and §6 of the privacy policy describe: your own request for specific items (for example a screenshot or text you send us when you report a problem), what security or the law requires, and aggregated figures that cannot be traced to a person. We do not sell your data.
5. Acceptable use
Do not use the service to infringe anyone's rights, to break the law, to migrate data you have no right to, or to attack the service or the providers it connects to. Do not resell the service as your own without a written agreement — an MSP tier exists for that and we would rather talk.
We may suspend an account that is doing one of those things. Except where the law or the situation makes it impossible, we will tell you why first and give you a chance to respond.
6. Prices, and what you are paying for
Prices are published in full on the pricing page.
- Your tier is derived from what you use — how many migrations run at the same time, and how much data you have migrated. You may choose a higher tier, for example for a higher frequency or more data to migrate.
- Finishing migrations lowers your bill automatically, without you asking. The amount of data you have migrated sets a floor.
- Free is free: six migrations at the same time, up to 150 GB, at one pass a day, with no monthly charge and no invoice. What you get on Free may change, for example when Free is used disproportionately. The frequency and/or the amount of data may then be reduced, as a change under §12. You register no payment method for Free. If you grow out of Free, for example because you want to migrate more data or run more migrations at the same time, you move to a paid tier. You are asked to choose that; nothing is billed for a month you did not agree to leave Free.
- There is no setup fee on any tier. A year paid ahead costs six months' price.
- Prices include VAT. What you see is what you pay. Invoices to business customers state the VAT treatment that applies to them — Dutch VAT, intra-EU reverse charge on a validated VAT number, or supply outside the EU.
Costs include our work: the price pays us for what it takes to run, build and maintain the service. The servers and hosting, the support, and the time spent building and improving the software. A change of price for a subscription you already have is a change under §12: we tell you at least 30 days ahead, and you may cancel before a new price applies. We move you to a paid tier only after you confirm it, with a button that says plainly that you are ordering with an obligation to pay.
7. Your right of withdrawal
If you are a consumer, you may withdraw from this contract within 14 days of concluding it, without giving a reason.
When you order a paid tier, the app says beside the order button that by ordering you ask us to begin at once, within the 14 days, and that if you then withdraw, you pay for the part of the service already provided, in proportion to the agreed price, and no more. We confirm your order, with that request, to you by email. Withdrawing does not touch your data at your source or your target; the promises of §2 hold throughout.
To withdraw, use Withdraw from contract here in the app, or send an unambiguous statement to support@ownpace.eu, within the 14 days. You may use the model form in §15, but you do not have to. We confirm receipt by email without delay. You pay only the proportionate amount: whatever was invoiced above it we credit, and whatever you paid above it we refund within 14 days, by the means of payment you used.
If you are a business customer, this section does not apply to you.
8. Billing, renewal, and not billing you for forgetting
Billing is monthly in advance: on the first day, for your tier, by the payment method you registered, carried out by our payment provider Mollie. If the month moves up to a higher tier, the difference for that month is invoiced when it does. On Free nothing is billed, so there is nothing to register. If you choose to pay a year ahead, it is billed at its start, at six months' price, and it is credit: each month of the year pays half the monthly price of the tier it used, and a month on Free pays nothing.
You can cancel a monthly subscription at any time, effective at the end of the current month. There is no minimum term, no notice period and no cancellation fee.
A year paid ahead is not refunded, in whole or in part, because the discount was the price of paying ahead; your right of withdrawal (§7) is not affected. What is left of it when the year ends pays for the months after it, each at its tier's full monthly price, until it runs out; then a subscription continues month to month, and you cancel it like any monthly subscription: at any time, effective at the end of the current month. If you close your account (§11) while credit is left, what is left ends with it. A year never renews as another year without you choosing it again.
Two commitments:
- We do not bill you for inattention. If a migration is running with nothing to do, we ask you periodically whether you want to keep this migration or finish it; you answer in one click.
- We do not bill beyond twelve months without your explicit confirmation. When a migration has been running a year, we ask you to confirm it again. A year paid ahead counts as that confirmation for its own twelve months, not for the credit left after them.
If a payment fails we will tell you and try again before anything is suspended. We will not delete your migration data because of a failed payment without warning you first.
9. Availability
We aim to keep the service running, and we tell you in advance about planned maintenance that interrupts your migrations. We do not, however, offer a contractual uptime guarantee. This does not limit your statutory rights if the service does not conform to the contract.
A migration is designed to survive interruption: it resumes rather than restarting, and a second pass neatly straightens out whatever got out of step. Outage costs you time, not correctness.
How fast a migration runs is largely beyond our control. The providers on either side set the pace — their rate limits and throttling are a ceiling we work under — so we promise to keep migrating, step by step, but no speed or completion date. Duration is a choice you make when you switch over and end our service.
10. If we get it wrong
We will fix it. Tell us at support@ownpace.eu.
If you are a consumer, we are liable to you as the law provides. If the service does not do what these terms and the law say it should, you have the remedies the law gives you: to have it put right and, where the law allows, a lower price, ending the contract, or compensation for loss we caused. We are not liable for loss of data at your source or target that we did not cause.
If you are a business customer, our total liability to you for any claim is limited to the amount you paid us in the twelve months before the claim. This limit also applies to claims about data protection between you and us. We are not liable for indirect or consequential loss, or for loss of data at your source or target that we did not cause.
No limit in this section applies to loss caused by intent or deliberate recklessness on our part or our management's, to death or personal injury, to the rights the GDPR gives the people whose personal data it is, or to any other liability the law does not allow us to limit.
Keep your source account until you have checked your target. The product is designed so that you decide when you switch over from source to target — and it is the best way to make sure you never need this section.
11. Ending it
You may close your account at any time: write to support@ownpace.eu. You choose when its data is erased: at once, or after 7, 30 or 90 days. We confirm the closing, and the date on which your data will be erased. From the moment your account is closed, no new migration passes start with the access you gave us. A pass that was already running finishes what it is busy with, and then stops. A pass of a migration can carry on for about fifteen seconds after the close, and then finishes what it began. If you connected a whole Microsoft 365 organisation, a daily check that had already started can still read, once, the list of its mailboxes, and the list of its distribution lists and groups with their members' addresses. When your data is erased, we destroy your credentials, revoke the access where the provider allows it, and delete your migration ledger, as §9 of the privacy policy describes. Invoices are kept as long as the law requires.
We may end these terms with 30 days' notice, or immediately for a serious breach of §5, after telling you why as §5 describes. If we end them during a period you have already paid for, we refund the part you have not had. If we discontinue the service, you get at least 90 days' notice and, if you ask for it, an export of your migration records: what was copied, what could not be, and why. The software is Apache-2.0, so you can keep running it yourself.
12. Changes to these terms
We change these terms only for a good reason: a change in the law or in what a provider requires of us, new features, a change in our costs, security, or to make the terms clearer. We tell you by email at least 30 days before a material change takes effect. With it, we say what changes and why.
If you do not accept the change, you may end the contract before it takes effect, without paying anything for ending it; your data is then erased as the privacy policy describes. If you are a consumer and a change makes the service clearly worse for you, you may also end the contract free of charge within 30 days after the change. Where we ask you to accept a change explicitly, continuing to use the service does not count as acceptance. Otherwise, continuing to use the service after the change takes effect is acceptance.
A change that is only to your benefit, or that the law requires at shorter notice, may take effect sooner.
13. Law and disputes
These terms are governed by Dutch law. If you are a consumer, this does not deprive you of the protection of the mandatory law of your country of residence. Disputes then go to the court the law makes competent, and you keep your right to bring proceedings before the courts of your own country. If you are a business customer, disputes go to the competent court in Overijssel, the Netherlands.
A complaint? Let us know. Tell us what went wrong at support@ownpace.eu — we respond within 14 days. If we cannot resolve it together, we tell you by email which dispute-resolution body could deal with it, and whether we will take part. If you are a consumer, ConsuWijzer (consuwijzer.nl) explains your options in the Netherlands, and the European Consumer Centres network (ECC-Net) advises and mediates free of charge in cross-border disputes. You can always go to court (see above).
Language. The Dutch text of these terms is a courtesy translation. Where the two versions differ, the English version governs, except where mandatory consumer law provides otherwise.
14. The validity of these terms
If a provision is unenforceable, the rest stands. Not enforcing something once does not mean it is waived. You may not transfer these terms without our consent. We may transfer them to a successor of the business. A transfer does not reduce your rights under these terms, and we tell you in advance if it happens. If you are a consumer, you may end the contract free of charge before it takes effect.
